General Terms and Conditions Basisclub

1. De Basisclub

De Basisclub is a general partnership (V.O.F.) operated by Drs. C.M.E. van de Poll (Psychologist) and J. Mooij MSc.
(Educationalist), registered with the Chamber of Commerce under number 62831011. The aim of De Basisclub is to contribute to the personal growth of primary school students in an enjoyable manner through positive and professional guidance. Each student receives personal attention and customized support. In addition to reinforcing fundamental knowledge and self-confidence, the focus is on teaching effective task management. De Basisclub also offers training sessions targeting executive functions and/or working memory, as well as 'Dutchclub' lessons specifically designed for children for whom Dutch is a second language.

2. Definitions

The Customer: refers to the party entering into the agreement with Basisclub, such as the primary school and/or the parent(s) or guardian(s) of the student.

Tutoring: refers to all services that a Customer can obtain from De Basisclub. 

De Basisclub: as defined above. 

3. General

The agreement is entered into from the moment the tutoring starts at the Basisclub. 

These general terms and conditions apply to all services that the Basisclub provides to the customer. Any deviations from these general terms and conditions are only valid if they have been expressly agreed in writing.

The Basisclub is entitled to change these General Terms and Conditions. A change will be notified to the customer in writing or by e-mail at least 30 days before it takes effect. 

Agreements with the Basisclub are governed by Dutch law. Should disputes arise, the parties will initially consult each other before engaging third parties.

4. Privacy and handling of data

The Basisclub will carefully observe the privacy legislation.Data will never be disclosed to third parties without prior explicit consent. All mailings received by Customers from De Basisclub will always be sent by and on behalf of De Basisclub. 

Changes in the Customer's contact details can be easily communicated via email.

Personal information shared a student shares with the Basisclub will not be shared directly with the parents, if the student so wishes, unless the Basisclub deems this necessary for the physical or psychological condition of the student or other involved parties. 

5.Basisclub Effort Obligation and Limitation of Liability

De Basisclub makes maximum effort to provide services in a professional manner and to the best of its ability. De Basisclub does not guarantee the achievement of specific results and is not liable or responsible for unsatisfactory outcomes. De Basisclub is not liable for the loss of the student's belongings during the provision of Tutoring. De Basisclub is not responsible for any damage to the student or their belongings incurred during the journey between home or school and the location of De Basisclub. 

The liability of De Basisclub is in all cases limited to the amount paid out under De Basisclub's liability insurance. If for any reason this insurance does not provide coverage, the liability of De Basisclub is limited to the amount paid by the Customer for the student's Tutoring under the agreement. Liability for indirect damage is excluded.

6. Scheduling, Rescheduling, Cancellation, and Illness

At the beginning of a Tutoring process, De Basisclub sends a confirmation with the agreed-upon lesson schedule and the invoice for the lessons. Within one week of the confirmation, the Customer can indicate in writing if the student is not available on one or more days in the schedule, after which the schedule will be adjusted accordingly. Afterward, the schedule for the lesson serie is fixed, and it is no longer possible to reschedule or make up lessons. In case of a difference of opinion regarding the correctness of the scheduling, the administration of the Basisclub will take precedence.

7. Standards of Conduct

We expect that a student makes sufficient effort and adheres to the agreements of the Basisclub. The Basisclub may decide to discontinue the Tutoring if a student does not comply with agreements or behaves in such a way that effective Tutoring (also affecting others) is seriously hampered. The Basisclub will make every effort to achieve the desired result.

8. Commencement, Termination, and Amendment of the Tutoring

The Customer can enroll at any time during the school year. The Tutoring is entered into for a certain period for the duration of the agreed lessonschedule and can be changed and/or extended after evaluation. A Customer has the right to terminate the Tutoring at any time. Any fees already owed to De Basisclub for the agreed lessons remain due; no refund will be provided. 

9. Complaints Procedure

Any complaints about the content and/or form of De Basisclub's services should be reported to us immediately. De Basisclub will address a complaint within 14 days and always notify the Customer in writing or by email.

10. Rates

The Customer will be informed by De Basisclub about the applicable rates for the agreed Guidance. The general rates for the Tutoring can also be found on the website, unless specifically deviated from in a written agreement.

De Basisclub is exempt from VAT. De Basisclub is entitled to change the rates and will inform its customers of this at least one month in advance in writing or by e-mail.

11. Payment

De Basisclub invoices the total amount for the  agreed Tutoring to the Customer. 

The invoice is sent to the Customer by email at the beginning of the guidance process. There is a payment term of 14 days. If the Customer does not pay the invoice on time, De Basisclub may charge statutory interest and extrajudicial collection costs amounting to 15% of the outstanding invoice amount with a minimum of EUR 100. 

If the Customer does not pay an invoice on time, the Customer is in default by operation of law without further notice of default being required. 

If an invoice remains wholly or partially unpaid despite reminders, De Basisclub is entitled to suspend the Guidance until the invoice, interest, and costs are fully paid.
